One may be better on the sale of a business; another might minimize taxes such as the new Net Investment Income Tax.

 

Our panel will compare and contrast each of the available entity choices. Major topics will include:

 

DISREGARDED ENTITIES ON SCHEDULE C AND HUSBAND AND WIFE PARTNERSHIPS

  • Federal versus state existence
  • Types of disregarded entities—Disregarded LLCs, disregarded partnerships, QSUBs, grantor trusts
  • When is a filing required or desirable
  • Sole proprietor entities
  • Liability blocker entities
  • Disregarded for income but not other tax purposes
  • Treatment of Husband-Wife ownership structures

LLCs, LIMITED PARTNERSHIPS AND JOINT VENTURES

  •        Is it a partnership for federal tax purposes?
  •         Reviewing the check the box rules
  •         Pass Through of Separately Stated Items
  •         Flexibility in Allocations
  •         SE taxes on various types of partnerships and LLCs
  •         The working interest exception from the passive activity loss rules
  •         Application of the Net Investment Income Tax and the importance of material participation

 

S CORPORATIONS INCLUDING S CORPORATIONS SET UP AS LLCs

  •         Restrictions on equity structure and who can own shares
  •         Using an LLC as the state law vehicle for creditor protections
  •        Per share per day accounting versus allocations
  •         Reasonable compensation planning—the reverse reasonable compensation issue
  •        Advantage under the NIIT for shareholders who materially participate
  •         LLC shareholders
  •         Disregarded subsidiaries as QSUBs and single member LLCs
  •         Advantage from being able to be acquired tax free
  •        Restrictions on built-in gains for entities that were formerly C corporations
  •        Disadvantage for inability to distribute property without gain
  •        Disadvantage for unavailability of 754 election on sale to step up asset basis
  •        Using a 338(h)(10) election to improve on that situation

C CORPORATIONS

  •         Two layers of tax
  •         Reasonable compensation issues
  •        Structuring debt and equity
  •        Application of the NIIT to dividends and interest paid
  •         Possible advantage from lower rates on tax reform
  •        Ability to sell C corporations tax free to ESOPs
